1. Agreement to Terms

By browsing universalcode.site, requesting a quote, or engaging UCODE ("we," "our," or "us") for website design, front-end development, UI/UX design, performance optimization, or digital consulting services, you ("Client," "you," or "your") agree to be bound by these Terms and Conditions.

If you are entering into this agreement on behalf of a company or legal entity, you confirm that you hold authority to bind such entity to these Terms.

2. Agency Services & Packages

UCODE provides high-performance custom web development services structured under defined or custom scope agreements:

• Basic Package: Informational websites (up to 5 pages) designed for a clear online presence, with structured layout, clean UI, and fast loading speed.
• Premium Package: Product catalogue and business showcase websites (up to 10 pages) with WhatsApp integration, custom product display features, and advanced SEO readiness.
• Custom Package: Tailored web applications, e-commerce systems, custom integrations, CRM connections, and ongoing retainer solutions.

All specific project deliverables, timelines, milestone schedules, and features will be finalized in a formal project scope or written estimate prior to work commencement.

3. Client Obligations & Content Delivery

To ensure project milestones and estimated delivery timelines are achieved without delay, the Client agrees to:

• Provide all required text content, high-resolution logos, brand guidelines, images, and media assets in a timely manner.
• Ensure all submitted materials do not infringe upon any third-party intellectual property or copyright laws.
• Provide clear, consolidated feedback during designated revision stages within 5 business days of deliverable submission.

Project delays caused by late content submission or delayed feedback from the Client will extend delivery timelines accordingly.

4. Pricing, Payments & Maintenance Terms

Our pricing structure is transparent and quote-based:

• Deposits & Milestones: Projects typically require an upfront deposit (e.g., 50%) prior to design and development, with the remaining balance due upon final project approval prior to domain launch or final code handoff.
• Domain & Hosting Exclusions: Unless explicitly itemized in the project scope, domain registration fees, database costs, and third-party hosting server fees are billed separately.
• Monthly Maintenance: Optional ongoing website maintenance starts from 5,000 LKR / month and covers server monitoring, minor content updates, security updates, and performance checks.
• Late Payments: Final website files, admin access, or server launches will be held until outstanding invoices are settled in full.

5. Intellectual Property & Ownership

Full Client Ownership Upon Final Payment: Upon receipt of final payment in full, all custom design files, front-end code, assets, and unique content created specifically for the project belong entirely to the Client.

Pre-existing Code & Libraries: Open-source libraries, frameworks, standard CSS utilities, and third-party scripts remain subject to their respective open-source licenses.

Portfolio Display Right: UCODE retains the right to display completed websites, visual mockups, and case studies in our agency portfolio, social media channels, and marketing materials unless a formal Non-Disclosure Agreement (NDA) is executed.

6. Revisions & Scope Changes

Each package includes defined revision rounds to refine visual layouts and functionality:

• Basic Package: Includes 1 round of revisions.
• Premium Package: Includes 2 rounds of revisions.
• Custom Package: Revision rounds are specified in the custom scope agreement.

Requests for structural changes, additional pages, or new functionality outside the agreed project scope will be quoted separately as scope expansions.

7. Warranties, Uptime & Limitation of Liability

UCODE builds websites using clean, industry-standard code and performance practices. However:

• We do not guarantee uninterrupted server uptime or performance issues caused by third-party web hosts, DNS providers, or third-party API outages.
• We are not liable for indirect, incidental, or consequential damages (including loss of business profits or data) arising from website operation or downtime.
• UCODE's total liability under any project engagement shall not exceed the total fees paid by the Client for that specific project.

8. Confidentiality

Both UCODE and the Client agree to treat all non-public business information, financial data, passwords, trade secrets, and technical documentation shared during the project as strictly confidential.

9. Termination of Agreement

Either party may terminate a project agreement upon written notice if the other party breaches material terms. In the event of Client cancellation prior to project completion:

• Initial deposit payments are non-refundable to cover work completed and allocated design resources.
• The Client will be billed for all work completed up to the date of termination notice.

10. Governing Law & Jurisdiction

These Terms and Conditions shall be governed by and construed in accordance with the laws of Sri Lanka. Any legal action or dispute arising under these Terms shall be submitted to the exclusive jurisdiction of the competent courts of Sri Lanka.
